Terms of Service

These Terms of Service (the Terms) govern your use of the redletternexus.com website and the NexusRX application and related services provided by Red Letter Nexus, a subsidiary of Red Letter Investment Group (we, us, or our). By accessing our website or installing or using NexusRX, you agree to these Terms. If you are agreeing on behalf of a clinic or organization, you represent that you have authority to bind it.

The service

NexusRX is software that clinics install in their GoHighLevel accounts to manage e-prescribing, pharmacy ordering, subscription refills, and related workflows. NexusRX is a tool for licensed clinics and providers. It does not provide medical advice and is not a pharmacy or a healthcare provider.

Eligibility and accounts

You may use NexusRX only as an authorized representative or staff member of a licensed clinic or provider. You are responsible for maintaining the confidentiality of your access, for the actions of your staff, and for keeping your account information accurate.

Plans, fees, and billing

NexusRX and related services are offered under subscription plans, which may include monthly fees and one-time setup fees. Fees, plan inclusions, and any usage-based charges are described in your order or on our website and may change with notice. Unless stated otherwise, fees are billed in advance, are non-refundable except where required by law, and do not include taxes. If a payment is not made when due, we may suspend or terminate access.

Acceptable use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws. You will not misuse the Services, attempt to gain unauthorized access, interfere with their operation, or use them to violate the rights of others.

Medical and professional responsibility

NexusRX is software that supports your clinic's workflows. It does not practice medicine or pharmacy and does not make clinical decisions. Your clinic and its licensed providers are solely responsible for all clinical judgments, prescriptions, patient eligibility and identity verification, and for compliance with all applicable laws and regulations, including those of the U.S. Drug Enforcement Administration and state pharmacy, controlled-substance, and telemedicine rules. You are responsible for confirming that each prescription and order is appropriate and lawful.

Customer data and PHI

As between you and us, your clinic owns its data and its patients' data. We process that data to provide the Services. Where the data includes protected health information, we process it as a Business Associate under a Business Associate Agreement (BAA) with your clinic, and that agreement controls our handling of PHI if it conflicts with these Terms. Our Privacy Policy describes how we handle information.

Third-party services

The Services work with third-party platforms and providers, including GoHighLevel and the fulfillment pharmacies your clinic designates. We are not responsible for third-party services, and your use of them is subject to their own terms.

Intellectual property

We and our licensors own the Services, including all software, content, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Services while these Terms are in effect. You may not copy, modify, resell, or reverse engineer the Services.

Disclaimers

The Services are provided on an as-is and as-available basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

Limitation of liability

To the fullest extent permitted by law, Red Letter Nexus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the claim.

Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your use of the Services, your clinical or business decisions, your patients' data, or your violation of these Terms or applicable law.

Term and termination

These Terms apply while you use the Services. You may stop using NexusRX and uninstall it at any time, which revokes its access to your GoHighLevel account. We may suspend or terminate access if you violate these Terms or fail to pay. Provisions that by their nature should survive termination will survive, and data handling after termination follows our Privacy Policy and the BAA.

Governing law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the date above and, where appropriate, provide additional notice. Continued use of the Services after changes take effect means you accept the updated Terms.
